Terms of Service

1. Agreement to Terms

By accessing or using the Cyber Guardian Corps ("CGC") website and services, operated by Lionfish Cyber Security LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Services

CGC provides cybersecurity and compliance training programs for college students, along with access to our GRC platform, mentorship, and client matching services. Students participate as independent contractors (1099) and are responsible for their own client relationships and work product.

3. Eligibility

To participate in CGC programs, you must:

  • Be at least 18 years of age
  • Be currently enrolled in or recently graduated from an accredited college or university
  • Be legally authorized to work in the United States as an independent contractor
  • Have access to a computer and reliable internet connection
  • Complete the required training curriculum

4. Subscription and Payment

The program requires a one-time certification training fee of $3,999 (or financing: $1,000 down + $330/month for 12 months), which covers the 40-hour GRC training curriculum. After completing training, student subscriptions are billed monthly at the current rate (currently $49/month). By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel. You may cancel your monthly subscription at any time, and cancellation will take effect at the end of your current billing period. The $3,999 training fee is non-refundable.

Clients brought onto the platform are subject to a separate platform fee ($100/month), which students should include in their service quotes.

5. Independent Contractor Status

Students participating in CGC are independent contractors, not employees of Lionfish Cyber Security LLC or CGC. As independent contractors, students are responsible for:

  • Their own taxes, including self-employment taxes
  • Obtaining any necessary business licenses or permits
  • Maintaining appropriate professional liability insurance (recommended)
  • The quality and timeliness of their work with clients
  • Compliance with all applicable laws and regulations

6. Client Relationships

CGC facilitates connections between trained students and potential clients, but does not guarantee client opportunities. Students are responsible for their own client acquisition, relationship management, and service delivery. CGC and Lionfish Cyber Security LLC are not parties to agreements between students and their clients.

7. Platform and Tools

Access to the Lionfish GRC platform and other tools is provided as part of your subscription. You agree to use these tools only for legitimate business purposes and in accordance with any applicable usage guidelines. Your access to these tools may be suspended or terminated if you violate these terms.

8. Intellectual Property

All content, materials, and intellectual property provided through CGC training programs remain the property of Lionfish Cyber Security LLC. You may not reproduce, distribute, or create derivative works from our training materials without express written permission.

9. Confidentiality

You agree to maintain the confidentiality of any proprietary information, client data, or trade secrets you encounter through your participation in CGC. This obligation continues even after you cease participating in the program.

10. Code of Conduct

As a CGC participant, you agree to:

  • Conduct yourself professionally in all interactions
  • Provide accurate and honest information to clients
  • Deliver quality work that meets professional standards
  • Respect the confidentiality of client information
  • Not engage in any illegal or unethical activities
  • Not misrepresent your qualifications or experience

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LIONFISH CYBER SECURITY LLC AND CGC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES.

12. Indemnification

You agree to indemnify and hold harmless Lionfish Cyber Security LLC, CGC, and their officers, directors, employees, and agents from any claims, damages, losses, or expenses arising out of your participation in the program, your work with clients, or your violation of these terms.

13. Termination

We reserve the right to suspend or terminate your access to CGC services at any time, with or without cause, and with or without notice. Upon termination, your right to use our platform and tools will immediately cease.

14. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Indiana, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved in the courts of Marion County, Indiana.

15. Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will notify you of any material changes by posting the updated terms on our website. Your continued use of our services after such changes constitutes acceptance of the new terms.
